It wasn't a big enough challenge for them...
KGN has a report up which states that Gearbox Software (developers of Borderlands 2) turned down Call of Duty according to studio head Randy Pitchford.
Randy Pitchford said that he didn't see a challenge for his team in the venture. He said, "You have to play by the rules of the series. You have to do what is expected of a Call of Duty. In this I see no real challenge for us. It would [not] strengthen our reputation as a studio, it would not be really motivating for our team."
Pitchford also stated, "when we can contribute to an existing brand something new - a kind of unique perspective and a new approach."
Activision has worked with several developers for Call of Duty. The Black Ops editions of the franchise including Black Ops 2 were developed by Treyarch.
